Reportable irregularities
The following reportable irregularities in terms of the Auditing Profession Act were included in
the Report of the Independent auditors and the certificate of the Company Secretary contained in
the Integrated Annual Report for the year ended 31 December 2013, which was distributed to
shareholders on 31 July 2014:
* non-compliance with Section 94(4)(b)(i) of the Companies Act of 2008 (“Act”) regarding the
composition of the audit committee;
* failure to prepare the annual financial statements of the company within six months of the
end of the financial reporting period as required by Section 30(1) and (2) of the Act; and
* non-compliance with King III relating to the composition of the remuneration committee as
required by Chapters 2.131, 2.45.2 and 2.57.
