FULFILMENT OF OUTSTANDING CONDITIONS PRECEDENT REGARDING THE ACQUISITION
BY ASCENDIS OF RESPIRATORY CARE AFRICA PROPRIETARY LIMITED (“RCA”)
Ascendis shareholders are referred to the SENS announcement dated 12 June 2014, advising of
Ascendis entering into an agreement with the shareholders of RCA to acquire 100% of the issued
ordinary share capital of RCA (“the Acquisition”), subject to the fulfilment of certain conditions
precedent, including receipt of approval from the South African Competition Commission (“Competition
Authorities”).
The Company’s board of directors is pleased to announce that as at 25 August 2014 all outstanding
conditions precedent have been fulfilled and payment has been effected. Accordingly the Acquisition
is unconditional.
