UPDATE REGARDING THE ACQUISITION OF NAMAQUALAND MINES
Shareholders are referred to previous announcements regarding the proposed transaction in
terms of which Emerald Panther Investments 78 (Pty) Limited (“EPI”) (a company in which
Trans Hex has a 40% interest) would acquire assets and liabilities relating to Namaqualand
Mines (“NM”) from De Beers Consolidated Mines Limited (“DBCM”).
Shareholders are further referred to the most recent announcement dated 5 June 2014
regarding amendments to the sale agreement entered into between EPI and DBCM.
Trans Hex is pleased to announce that the Industrial Development Corporation ("IDC") has
approved the revised loan terms, in terms of which the IDC will provide EPI with funding of
R189 million and that the loan agreement has been executed by the parties.
The effective date of the NM transaction is still expected to be on or about 31 October 2014.
