ANNOUNCEMENT REGARDING THE PROPOSED ACQUISITION OF JD GROUP?S
CONSUMER FINANCE BUSINESS
Noteholders are referred to the announcement released by JD Group
Limited (Share code: JDG; ISIN Nr: ZAE000030771) (?JD Group?) on 18
December 2014 advising that RCS has entered into various agreements
(?the Agreements?) to acquire the JD Group consumer finance
business, which agreements also include a 10 year commercial
agreement in terms of which RCS will grant credit to JD Group?s
customers (together ?the Transaction?).
The Transaction is similar in nature to the acquisition of other
retailers? consumer finance businesses that RCS has concluded in the
past.
The effective date of the Transaction will be the first day of the
month following the month in which all the conditions precedent to
the Agreements are fulfilled or waived, as the case may be, or 1
April 2015, whichever is the latest.
