WAIVER OF MANDATORY OFFER
Shareholders are referred to the announcement in respect of the results of the general meeting
of shareholders held on 19 January 2014 released on that date.
Independent holders of more than 50% of the general voting rights of shareholders present and
voting, waived the benefit of a mandatory offer in terms of Companies Regulation 86(4).
In the circular issued on 17 December 2014 the Takeover Regulation Panel (“TRP”) advised
shareholders that any shareholder who wishes to make representations relating to the waiver,
has 10 business days from the date of posting of the circular to make such representations to the
TRP before it considers its ruling. No objections were received within the permitted timeframe.
The TRP has now considered the application for the waiver and waived the requirement for a
mandatory offer as set out in the circular.
