NOTICE IN TERMS OF SECTION 45(5)(b) OF THE COMPANIES ACT, 71 OF 2008 (the “Act”)
Notice is hereby given that the Company has during its financial year ended 31 March 2015,
pursuant to the authority granted to the board of directors by shareholders at the annual general
meeting of the Company held on 21 August 2014, provided incremental financial assistance to the
following related parties for regulatory capital adequacy and operational capital:
- Cadiz Asset Management (Pty) Ltd
- Cadiz Corporate Solutions (Pty) Ltd
- Cadiz Black Economic Empowerment Trust
The Company, prior to providing the financial assistance, satisfied itself that it would satisfy the
solvency and liquidity test contemplated in section 4 of the Act.
