FULFILMENT OF OUTSTANDING CONDITIONS PRECEDENT ON THE ACQUISITION OF DARE
HOLDINGS PROPRIETARY LIMITED
Shareholders are referred to the SENS announcement dated 20 April 2015 in which it was advised
that the Company’s wholly owned subsidiary in Australia, Adcorp Holdings Australia Proprietary
Limited (“AHA”), entered into an agreement with Christopher Robert Hicks and C&B Hicks
Nominees Proprietary Limited (the “Sellers”) in terms of which AHA, acquired 100% of the issued
share capital in Dare Holdings Proprietary Limited, an Australian registered entity, subject to the
conditions precedent as set out in the said SENS announcement (the “Conditions Precedent”)
(the “Acquisition”).
The Board of Directors of Adcorp is pleased to announce that the Conditions Precedent to the
Acquisition have now been fulfilled and accordingly the Acquisition is now unconditional.
