PROGRAMME: NOTICE TO NOTEHOLDERS – INCREASE IN THE PROGRAMME
AMOUNT
Reference is made to the Nedbank Limited ZAR40,000,000,000
Domestic Medium Term Note Programme ("Programme") under which
Nedbank Limited ("Issuer") may, from time to time, issue
secured or unsecured, subordinated or unsubordinated notes of
any kind ("Notes") pursuant to the consolidated Programme
Memorandum, dated 24 May 2010, as amended and/or supplemented
from time to time ("Programme Memorandum").
On 18 February 2015, the Nedbank Group Risk and Capital
Management Committee resolved that the maximum aggregate
Outstanding Principal Amount of all of the Notes that may be
issued under the Programme at any one point in time
("Programme Amount") be increased from ZAR40,000,000,000 to
ZAR50,000,000,000.
Noteholders are hereby notified that, on and with effect from
the date of this Notice, the Programme Amount is increased
from ZAR40,000,000,000 to ZAR50,000,000,000.
On and with effect from the date of this Notice, all
references in the Programme Memorandum (and each agreement,
deed or document relating to the Programme and/or the
Programme Memorandum) to the Programme Amount will be, and
will be deemed to be, references to the increased Programme
Amount set out in this Notice.
