DISTRIBUTION OF CIRCULAR AND NOTICE OF GENERAL MEETING
1. DISTRIBUTION OF CIRCULAR
Further to the announcement released on SENS on 17 April 2015 (and using the terms defined therein
unless otherwise stated) regarding, inter alia, the acquisition of 100% of the issued share capital of
Pinnacle’s wholly-owned subsidiary, Infrasol, together with Infrasol’s wholly-owned subsidiary, Merqu,
shareholders are hereby advised that the Circular containing full details of the Acquisition and
incorporating a notice to convene a general meeting of Datacentrix shareholders (“General Meeting”)
in order to consider and, if deemed fit, to pass, with or without modification, the resolutions necessary
to approve and implement the Acquisition, has been distributed today, 3 June 2015.
The Circular is available on the Company’s website at www.datacentrix.co.za.
2. NOTICE OF GENERAL MEETING
Notice is hereby given that the General Meeting will be held at 10:30 (or immediately following the
Annual General Meeting, to be held at 10:00, whichever is later) on Friday, 3 July 2015 at the registered
office of the Company, Corporate Park North, 238 Roan Crescent, Old Pretoria Road, Midrand, 1685,
to conduct the business stated in the notice of General Meeting, which is contained in the Circular.
The Board has determined that, in terms of section 62(3)(a), as read with section 59 of the Companies
Act, 2008 (Act 71 of 2008), as amended (“Companies Act”) the record date for the purposes of
determining which shareholders of the Company are entitled to participate in and vote at the General
Meeting is Friday, 26 June 2015. Accordingly, the last day to trade in Datacentrix shares in order to be
recorded in the Company’s securities register to be entitled to vote will be Friday, 19 June 2015.
