GRANT AND ACCEPTANCE OF RIGHTS TO PARTICIPANTS IN SHARE PLANS
In compliance with Rules 3.63 to 3.74 of the Listings Requirements of the
JSE Limited ("JSE"), the following information is disclosed:
Directors of Metrofile Holdings and its major subsidiary have been granted
rights to participate in the Company’s share based incentive plans as
follows:
Share appreciation rights, which are subject to performance conditions and
vest after three years, at a grant price of R4,31:
Graham Wackrill 743,596 rights (direct beneficial)
Mark McGowan 471,694 rights (direct beneficial)
Wayne Clarke 371,230 rights (direct beneficial)
Vera Massyn 326,891 rights (direct beneficial)
All rights are subject to the rules of the share incentive plan, as approved by
shareholders at the general meeting held on 9 October 2008 and amendments thereto
approved by shareholders at the annual general meeting held on 28 November 2011.
