CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the Company has entered into non-binding heads of
agreement for the formation of a new company, Newco, which will purchase the
assets and liabilities of a division of CRG and the assets and liabilities of an
undisclosed third party. The proposed transaction is subject to various suspensive
conditions, including, but not limited to, a 60-day due diligence review by the parties
to the proposed transaction.
The successful conclusion of these negotiations and any subsequent transaction may
have a material effect on the price at which the Company’s securities trade on the
Johannesburg Stock Exchange and shareholders are accordingly advised to exercise
caution when dealing in the Company’s securities until a further announcement is
made.
