SECTION 122 NOTICE: ACQUISITION AND DISPOSAL OF SHARES
In accordance with Section 3.83(b) of the JSE Listings Requirements, Orion
Real Estate hereby confirms that the Company has received two related
notices in terms of Section 122 of the Companies Act, No. 71 of 2008.
The ultimate controlling shareholder of Orion Real Estate has restructured his
interest in Orion Real Estate through the sale of shares held by Franz Gmeiner
Property Trust to Gmeiner Investment Holding Proprietary Limited. There is no
change in the ultimate beneficial shareholder of Orion Real Estate.
Accordingly, Gmeiner Investment Holding Proprietary Limited has informed
Orion Real Estate that it has acquired a beneficial interest in the Company
increasing its shareholding to 93.04% of the issued ordinary share capital of
the Company and the Franz Gmeiner Property Trust has sold its entire
beneficial interest in the Company to reduce its shareholding in Orion Real
Estate to nil.
The requisite forms will be lodged with the Takeover Regulation Panel.
