RELATED PARTY TRANSACTION CIRCULAR
Shareholders are referred to the SENS announcement released on 1 December 2015 whereby shareholders were advised
that the Company and certain subsidiaries of the Company had agreed the terms of three related party transactions, of
which one related party transaction (the “EIH Transaction”) constitutes a large related party transaction and accordingly
requires the approval of ordinary shareholders.
Shareholders are further advised that the circular setting out further information on the EIH Transaction and containing a
notice to convene the requisite general meeting of shareholders and the requisite fairness opinion will be posted on or
before 29 February 2015, as agreed with the JSE Limited.
