In compliance with Rules 3.63 to 3.74 of the Listings Requirements of the
JSE Limited ("JSE"), the following information is disclosed:
A director of Metrofile Holdings has been granted rights to participate in
the Company’s share based incentive plans as follows:
Share appreciation rights, which are not subject to performance conditions
but which are subject to retention conditions and vest after three years,
at a grant price of R4,06:
P G Serima 2,463,054 rights (direct beneficial)
All rights are subject to the rules of the share incentive plan, as
approved by shareholders at the general meeting held on 9 October 2008 and
amendments thereto approved by shareholders at the annual general meeting
held on 28 November 2011.
