DISCLOSURE OF SIGNIFICANT HOLDING OF TORRE ORDINARY SHARES
In terms of section 122 (3)(b) of the Companies Act No. 71 of
2008, as amended (“the Act”), and paragraph 3.83(b) of the
Listings Requirements of the JSE Limited, shareholders are
advised that Torre has received formal notification that
Stellar Capital Partners Limited (“Stellar”) has acquired a
further beneficial interest in the ordinary shares of the
Company such that Stellar’s shareholding has increased to
35.46%.
As required in terms of section 122(3)(a) of the Act, the
Company has filed the required notice with the Takeover
Regulation Panel.
Shareholders are further referred to the joint Torre/Stellar
firm intention announcement released on the Stock Exchange
News Service this morning confirming Stellar’s firm intention
to make a mandatory offer to acquire all the issued ordinary
shares in Torre not already held by Stellar.
