PROPOSED DELISTING OF GOODERSON BY WAY OF A SCHEME OF ARRANGEMENT,
PROPOSED OFFER TO REMAINING SHAREHOLDERS AND CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the Board of directors of Gooderson has received a letter from ALJU Family Trust
(“ALJU”), the controlling shareholder of Gooderson, indicating that ALJU intends to make an offer for all the
issued share capital of Gooderson not held by itself and members of the Gooderson family at a proposed offer
price of 65 cents per share.
It is proposed that the transaction will be implemented by way of a Scheme of arrangement in terms of the
Companies Act, 2008.
Accordingly, shareholders are advised to exercise caution when dealing in the company’s securities until a
further announcement is made.
