RESULTS OF MEETING OF HOLDERS OF NOTES ISSUED BY EQSTRA CORPORATION
LIMITED
Noteholders are advised that at a meeting of Noteholders held at the
offices of Eqstra Corporation Limited, 61 Maple Street, Pomona, Kempton
Park, Johannesburg at 10:00am on 22 July 2016, the following resolution
was proposed to be passed:
AS SPECIAL RESOLUTION 1 - AMENDMENTS TO THE TERMS AND CONDITIONS OF THE
OUTSTANDING NOTES OF SERIES 176 ISSUED BY THE ISSUER
Subject to and conditional upon:
-the Proposed Amendments having been approved by the requisite
majority of Noteholders at a duly convened meeting of the
Noteholders of all the outstanding Notes; and
-the Disposal Transaction being implemented as contemplated in the
Announcement (the “Effective Date”), the terms of the Series Notes
be amended with effect from the Effective Date, on the basis
contemplated in the draft amended and restated Applicable Pricing
Supplement attached to the notice of meeting as Appendix “C”.
After the voting had been conducted, the results of the voting are as
follows:
the acceptance by the Noteholders of Special Resolution 1 passed by
Noteholders representing 97.4% of the votes cast with respect to notes
issued under EQS05;
the amount of Noteholders who voted against Special Resolution 1
represents 1.35%
