DEALING IN SECURITIES
Shareholders are referred to the SENS announcement released by the company on 14 July 2016 with regards to
share appreciation rights (“SARs”) exercised by directors of the company, directors of major subsidiaries and the
company secretary (“Participants”) in terms of the Transaction Capital Limited SAR Plan (the “SAR Plan”).
In compliance with paragraphs 3.63 to 3.65 of the JSE Limited Listings Requirements, notification is hereby given
that Participants have disposed of securities held in the company. A portion of the proceeds from the sale of
securities will be utilised to settle taxes due in terms of the SAR Plan and to settle debt due to the company
(where relevant).
All disposals of Transaction Capital securities were executed by Rand Merchant Bank on behalf of Participants
and other employees that exercised SARs. A total of 4 783 629 Transaction Capital shares were disposed in this
process on the following terms:

Each of the above disposals was executed on a pro-rata basis for each Participant. Each Participant will receive
