NOTICE TO SHAREHOLDERS OF FAMOUS BRANDS IN TERMS OF SECTION 45(5)
OF THE COMPANIES ACT, 71 OF 2008 (“THE COMPANIES ACT”)
Further to the announcement dated 1 September 2016 relating to the
acquisition by Famous Brands of GBK Restaurants Limited, notice is
hereby given as required in terms of Section 45(5) of the Companies
Act that pursuant to the authority granted to the board of Famous
Brands by its shareholders at the annual general meeting of
shareholders held on 29 July 2016, the board of Famous Brands has
adopted a resolution to continue to provide direct or indirect
financial assistance (including by way of loans and guarantees)to
related or inter-related entities in the ordinary course of
business, as contemplated in section 45 (2) of the Companies Act.
