COURT APPROVAL OF SCHEME
Rare shareholders are referred to the announcement published
by Rare on 1 September 2016, wherein they were advised that
the Company was notified by certain of the shareholders who
voted against the resolutions (“Objecting Shareholders”) that
they required the Company to seek court approval, in terms of
section 115(3)(a) of the Companies Act of 2008, as amended,
(“Act”) to proceed to implement the Scheme.
Shareholders are advised that the Objecting Shareholders have
withdrawn their requests in terms of section 115(3)(a) of the
Act for the Company to seek court approval to proceed with the
implementation of the special resolution approving the Scheme.
