CAUTIONARY ANNOUNCEMENT REGARDING A CONDITIONAL OFFER RECEIVED
Shareholders are advised that Buildmax has received a conditional offer to acquire a controlling
equity position in the Company subject to certain pre-conditions.
The features of the conditional offer are as follows:
- the Company’s existing shareholders will receive shares in the acquiring entity, based on an
exchange ratio that will be determined with reference to the volume weighted average share
prices of the acquiring entity and Buildmax; and
- the acquiring entity will recapitalise the Company to reduce debt and provide working capital
for further organic and acquisitive growth.
The independent board of Buildmax is deliberating on the conditional offer.
Accordingly, shareholders are advised to exercise caution when dealing in Buildmax securities
until a further announcement is made.
