The board of Steinhoff International Holdings N.V. (“Steinhoff”) is pleased to announce that the Court
Meeting and the General Meeting in connection with the recommended cash offer by Steinhoff Europe
AG (“SEAG”) for the entire issued and to be issued share capital of Poundland Group plc (“Poundland”)
not already directly or indirectly owned by it (the “Offer”), held today at Wellmans Road, Willenhall,
West Midlands WV13 2QT, were each successfully concluded and:
- Scheme Shareholders voted to approve the Scheme at the Court Meeting; and
- holders of Poundland Shares voted to pass the Special Resolution in relation to the Scheme at
the General Meeting.
