DISCLOSURE OF A DISPOSAL AND AN ACQUISITION OF SECURITIES IN TERMS OF
SECTION 122 OF THE COMPANIES ACT
In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008, as amended and
section 3.83(b) of the JSE Limited Listings Requirements, shareholders are hereby advised
that the Company has received formal notification in the prescribed form that:
- The Sassoon Children’s Trust (“SCT”) has disposed of its interest in the securities of the
Company through the transfer of such securities to Rolbase Investments Proprietary
Limited (“Rolbase”), a wholly owned company of SCT, in exchange for further ordinary
shares in Rolbase (“Transfer”). Following the Transfer, the total direct interest in the
securities of the Company held by SCT has decreased from 7.31% to 0% of the total
issued share capital of the Company; and
- Rolbase has acquired an interest in the securities of the Company through the Transfer,
such that the total direct interest in the securities of the Company held by Rolbase (which
will continue to be wholly owned by SCT upon implementation of the Transfer) has
increased from 0% to 7.31% of the total issued share capital of the Company.
