NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING
Audited financial statements
Shareholders are advised that the Company’s Integrated Report will be lodged with the
JSE Limited and distributed to shareholders today, Friday, 31 March 2017. The Integrated
Report will also be available on Barclays Africa Group’s website from 31 March 2017.
An abridged report has not been published as the information previously published in the
Group’s audited results on Thursday, 23 February 2017 is unchanged. Ernst & Young Inc.
and PricewaterhouseCoopers Inc. audited the Group’s results and their unqualified audit
reports are available for inspection at the registered office of the Company.
Notice of the Annual General Meeting
Notice is hereby given that Barclays Africa Group’s Annual General Meeting (AGM) will be
held in Room 8.02, Barclays Towers West, 15 Troye Street, Johannesburg on Tuesday,
16 May 2017 at 10:00 to transact the business as stated in the notice of AGM.
In terms of section 59(1) (b) of the Companies Act, 71 of 2008, the record date for the
purpose of determining which shareholders are entitled to participate in and vote at the AGM
(being the date on which a shareholder must be registered in the Company’s securities
register in order to participate in and vote at the AGM) is Friday, 5 May 2017. Therefore the
last day to trade in Barclays Africa Group shares in order to be in the register is Tuesday,
2 May 2017.
