TRP121: NOTIFICATION OF CHANGE IN BENEFICIAL INTERESTS IN SECURITIES
In compliance with section 122(3)(b) of the Companies Act 71 of 2008 (“the Companies Act”), regulation 121(2)(b)
of the Companies Act Regulations 2011 and paragraph 3.83(b) of the JSE Listings Requirements, shareholders are
advised that Heriot has received notification from –
- The Gusi Trust (“the Trust”) of the disposal by the Trust of 222 384 168 of shares in the company such that the
Trust now holds 0% (being 1 share) of Heriot’s issued shares; and
- Heriot Investments Proprietary Limited (“Heriot Investments”) of the acquisition by Heriot Investments of
222 384 168 of Heriot’s shares such that Heriot Investments now holds 86.99% of Heriot’s issued shares.
As required in terms of section 122(3)(a) of the Companies Act, Heriot has filed the notice with the Takeover
Regulation Panel.
