NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND SECTION 3.83(b)
OF THE JSE LISTINGS REQUIREMENTS
In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008 (“the Act”) and section 3.83(b)
of the JSE Limited Listings Requirements, shareholders are hereby advised that Novus Holdings has
received formal notification in the prescribed form that H4 Collective Investments (RF) (Pty) Ltd acting on
behalf of the H4 Qualified Investor Hedge Fund Scheme in respect of the Value Active PFP H4 QI Hedge
Fund (“VCP through its Fund”), has acquired an interest in the securities of the Company, such that the
total interest in the securities of the Company held by VCP through its Fund is 5.75% of the total issued
share capital of the Company. Value Capital Partners (Pty) Ltd (“VCP”) are the advisors to Peregrine Fund
Platform (Pty) Ltd, the registered Fund investment manager.
As required in terms of section 122(3)(a) of the Act, Novus Holdings has filed the required notice with the
Takeover Regulation Panel.
