NOTIFICATION IN TERMS OF SECTION 122 (3) OF THE COMPANIES ACT AND SECTION 3.83 (b) OF THE JSE
LISTINGS REQUIREMENTS
In accordance with section 122 (3) (b) of the Companies Act, No 71 of 2008 (“the Act”) and section
3.83 (b) of the JSE Listings Requirements, shareholders are hereby advised that Novus Holdings Limited
has received formal notification in the prescribed form that Value Capital Partners (Pty) Ltd (“VCP”)
who are the advisors to Peregrine Fund Platform (Pty) Ltd, the registered fund investment manager
for various funds advised by VCP (“VCP through its Funds”), has acquired an interest in the ordinary
shares of the Company, such that the total interest in the ordinary shares of the Company held by VCP
through its Funds is 10.72% of the total issued ordinary shares of the Company.
As required in terms of section 122 (3) (a) of the Act, Novus Holdings has filed the required notice with
the Takeover Regulation Panel.
