Steinhoff International Holdings N.V. (the “Company” and with its subsidiaries, the “Group”)
Update on the 2017 Consolidated Accounts
The Company refers to its announcement on 5 December 2017 that its Supervisory Board
had approached PwC to investigate certain accounting irregularities that had come to
light and that the publication of the Company’s consolidated financial statements for the
year ending 30 September 2017 (the “2017 Consolidated Accounts”) would be postponed.
PwC continues to work with the Company and its legal advisers in relation to the
accounting irregularities and its independent investigation is ongoing. As a result, in
accordance with its regulatory requirements, the Company has today informed the Dutch
Authority for the Financial Markets that it will not publish the 2017 Consolidated Accounts
by 31 January 2018. Notwithstanding such delay, the Company’s issued ordinary shares will
continue to be listed and trade on the Frankfurt Stock Exchange and the Johannesburg
Stock Exchange. The Company will provide an update on the progress of the accounting
enquiries and the availability of the 2017 Consolidated Accounts as soon as it is able to do
so.
South African Companies and Intellectual Properties Commission (“CIPC”) notice
The Company has received a compliance notice from the CIPC, confirming the
requirements that the Company should take steps to investigate the previously reported
accounting irregularities in terms of the South African Companies Act No 71 of 2008 (“the
Act”) within a period of six months from the date of the compliance notice and to bring the
necessary actions that may be required in terms of the Act.
Shareholders and other investors in the Company are advised to exercise caution when
dealing in the securities of the Group.
