CHANGE IN NATURE OF A DIRECTOR’S HOLDINGS OF THE COMPANY’S SECURITIES
Shareholders are advised that on 12 February 2018 Richard Herring, a director of Heriot, agreed to dispose of
11 377 339 Heriot ordinary shares (“Heriot shares”) to Gabenjosh Investments Proprietary Limited (“Gabenjosh
Investments”) at a price of R10.00 per share (for a total value of R113 773 390). Richard Herring is the sole
shareholder of Gabenjosh Investments, and after this transaction the nature of his interest in the Heriot shares will
change from direct beneficial to indirect beneficial. The transaction was conducted off-market and clearance to deal
was obtained. The effective date of the transaction is 12 February 2018.
