NOTICE IN TERMS OF SECTION 45(5)(a) OF THE COMPANIES ACT, 2008, TO ALL
SHAREHOLDERS (FOR INFORMATION PURPOSES ONLY - NO ACTION REQUIRED BY
SHAREHOLDERS)
Notice is hereby given in terms of Section 45(5)(a) of the Companies Act, 2008 (“the
Companies Act”), that the Board of Sappi has adopted resolutions to provide financial
assistance to a related company of Sappi as contemplated in Section 45(2) of the
Companies Act. The resolutions adopted by the Board relate to financial assistance to a
related company of Sappi in connection with a revolving loan facility which is being provided
to Sappi Papier Holding GmbH and Sappi International SA, the total value of which, together
with any previous resolutions to provide financial assistance during the current financial year,
exceeds one-tenth of 1% of Sappi’s net worth.
