STEINHOFF INVESTMENTS – DECISION NOT TO DECLARE A PREFERENCE DIVIDEND
Holders of the cumulative, non-redeemable, non-participating, variable rate preference shares (the
"Preference Shares") with a face value of R1.5 billion (ca. €100 million) issued by Steinhoff Investments
are hereby notified that the board of directors of the Issuer has resolved not to declare a preference
dividend on the Preference Shares for the dividend period 1 July 2017 to 31 December 2017 (the
“Preference Dividend”).
The board of directors of the Issuer has determined that it is not in the best interest of the Issuer to
declare the Preference Dividend at this time, given the on-going situation faced by the Steinhoff
group, following the announcements made since December 2017.
The holders of the Preference Shares will, as a consequence of the Issuer's decision not to declare
the Preference Dividend, inter alia, be entitled to receive notices of general meetings of the Issuer's
shareholders, and will be entitled to vote at such general meetings, but not the general meetings of
Steinhoff International Holdings N.V.
It is the Issuer's intention to call a general meeting of its shareholders to be held in the second half of
June 2018 and the Issuer will confirm the date and distribute the requisite notice in due course.
