UPDATE ANNOUNCEMENT REGARDING THE ACQUISITION BY ATON GMBH
(“ATON”) OF MURRAY & ROBERTS ORDINARY SHARES
Shareholders are referred to the announcement released on SENS this morning by ATON
regarding its acquisition of Murray & Roberts ordinary shares for a maximum consideration
of R17.00 per share, ATON’s intention to waive the minimum acceptance condition to its
voluntary offer (“ATON Offer”) of 50% plus one Murray & Roberts share, and ATON’s
obligation to now increase the offer price in terms of the ATON Offer from R15.00 to a
minimum of R17.00 (“Increased Offer Price”) per Murray & Roberts’ share.
The independent board of directors of Murray & Roberts (“Independent Board”) will consider
the contents of the aforementioned announcement by ATON. The Independent Board notes
that the Increased Offer Price is still below the low end of the Independent Board’s fair value
range of R20.00 to R22.00 per Murray & Roberts share. The Independent Board will provide
its perspectives once the matters contained in the announcement are confirmed by ATON
and will also seek to engage ATON regarding these developments.
