APPOINTMENT OF CHIEF EXECUTIVE OFFICER (“CEO”)
In compliance with the JSE Listings requirements which prescribes the issuer must have an
appointed chief executive officer and a chairman and these positions must not be held by the same
person. The chairman must either be an independent non-executive director, or the issuer must
appoint a lead independent director, in accordance with the King Code.
Shareholders are advised that Mr. Neil Birch has been formally appointed as CEO with effect from 19
June 2018. The Board will appoint a permanent replacement chairman, in the interim the Lead
Independent Director, Mr. Jan Potgieter, is appointed as the Acting Chairman and will continue in his
role as Lead Independent Director. The process is underway to recruit an independent chairman
with relevant experience.
