ANNOUNCEMENT FOR COMPLIANCE REASONS ONLY: NOTICE IN TERMS
OF SECTION 45(5)(a) OF THE COMPANIES ACT 71 OF 2008, AS AMENDED
Notice is hereby given in terms of section 45(5)(a) of the Companies Act 71
of 2008, as amended (the “Act”), that the board of directors of the Company
(the “Board”) on 22 June 2018 and 28 June 2018, authorised the Company to
provide direct or indirect financial assistance to any one or more related
or inter-related companies or corporations of the Company in terms of
section 45 of the Act, pursuant to the authority granted to the Board for
two years by shareholders at the Annual General Meeting held on 28 November
2017.
The aggregate financial exposure of the Company in respect of any financial
assistance in terms of this resolution is approximately R794 million. Any
financial assistance provided by the Company is to be provided in accordance
with the Act.
