CONSTITUTION OF AND APPOINTMENTS TO THE NOMINATIONS COMMITTEE
The board of directors of Metair (“Board”) is committed to adhering to good corporate
governance procedures, as it relates to the recommendations of the King IV Report on
Corporate Governance for South Africa, 2016. Accordingly, the Board has resolved to
formally constitute a nominations committee (“Committee”), which role was previously
under the responsibility of the Board as a whole.
The following independent non-executive directors of the Company have been appointed
to the Committee, with immediate effect:
- Mr SG Pretorius, the chairman of the Board, who will act as the chairman of the
Committee;
- Mr JG Best, the lead independent director of the Company; and
- Ms TN Mgoduso, the chairperson of the Company’s remuneration committee.
