NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND SECTION
3.83(B) OF THE JSE LISTINGS REQUIREMENTS
In accordance with section 122(3)(b) of the Companies Act, 71 of 2008 ("the
Act"), and section 3.83(b) of the JSE Limited Listings Requirements, holders
of ordinary shares in the Company are advised that Sabvest Finance and
Guarantee Corporation acquired a beneficial interest in Rolfes securities,
such that its beneficial interest amounts to 27,5m shares representing a 17%
beneficial interest in the total number of ordinary shares in issue net of
treasury shares.
Sabvest also holds preference shares in Masimong Chemicals (Pty) Ltd which
are linked to the performance of 22,5m of the Rolfes shares owned by Masimong.
Sabvest accordingly holds a combined, direct and indirect participating
economic interest of 31% in Rolfes.
Rolfes hereby confirms that it has received the required notices in terms
of section 122(3)(a) of the Act, and that it has filed the required notices
with the Takeover Regulation Panel.
