CHANGE IN NATURE OF DIRECTOR'S HOLDING OF THE COMPANY'S SECURITIES
The JSE has granted Marc Wainer, a non-executive director of EPP, a dispensation in terms of paragraph 3.70 of the JSE
Listings Requirements to permit a dealing in securities to take place during the Company's current closed period (in
respect of the quarter ended 30 September 2018). The transfer is to be effected to facilitate the refinancing of the EPP
shares and associated security arrangements requiring the transfer by Marc Wainer of 9 720 000 EPP shares to the
Drawood Trust, an associate of / a person closely associated with Marc Wainer (of which Marc Wainer is one of three
trustees and he and his immediate family are discretionary beneficiaries).
Accordingly, shareholders are advised that on 14 November 2018, Marc Wainer transferred 9 720 000 EPP shares to the
Drawood Trust, at a price of R19.50 per share for a total consideration of R189 540 000.00 thus changing the nature of his
interest in shares from direct beneficial to indirect beneficial.
The transaction was conducted on-market and the clearance to deal was obtained on the basis of the JSE dispensation.
