In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008 ("the Act") and section
3.83(b) of the JSE Limited Listings Requirements, shareholders are hereby advised that Insimbi has
received formal notification in the prescribed form that pursuant to a merger agreement entered into
between New Seasons Investment Holdings Proprietary Limited ("New Seasons") and another entity,
New Seasons has transferred securities of the Company being 20% of the total issued share capital of
the Company ("Insimbi shares") to a newly established special purpose vehicle, namely New Seasons
Investment Fund Proprietary Limited ("NSIF") (formerly K2017289230(South Africa)). NSIF in turn
transferred the Insimbi shares to another special purpose vehicle namely K2017289277 (South Africa)
Proprietary Limited ("NS Investco"). The result of the transferred securities by New Seasons and NSIF
respectively is that the total interest in the securities of the Company held by NS Investco is 20% of
the total issued share capital of the Company. As required in terms of section 122(3)(a) of the Act, the
Company has filed the required notice with the Takeover Regulation Panel.
