CIRCULAR TO SHAREHOLDERS: A SCRIP DISTRIBUTION OR, AS AN ALTERNATIVE, AN ELECTION TO
RECEIVE A CASH DIVIDEND
Further to the Company's results announcement released on 28 February 2019 in which the Board of Directors
of the Company informed Shareholders of the Board's resolution to declare and issue a scrip dividend
("Scrip Distribution"), or as an alternative offer Shareholders an election to receive a cash dividend in respect their
ordinary shares held in Massmart as at the record date, being Friday, 29 March 2019, Shareholders are hereby
notified that a Circular containing details and salient terms of the Scrip Distribution and relevant dates in respect
thereof will be available in electronic form on Massmart's website: www.massmart.co.za from
Monday, 4 March 2019. Copies of the Circular may be obtained from the registered office of Massmart, at
16 Peltier Drive, Sunninghill, Sandton, Gauteng during normal business hours on business days from
Monday, 4 March 2019 up to and including, Friday, 29 March 2019 (both days inclusive).
