RESIGNATION OF AUDITOR
In accordance with the JSE Listings Requirements, a listed company is required to advise shareholders
once it receives notice from its external auditors of their resignation.
Group Five hereby advises shareholders that the Company's external auditors, PricewaterhouseCoopers
Incorporated ("PWC") have resigned as auditors of Group Five with immediate effect.
PWC's reasons for resigning relate to the resignation by a number of non-executive directors of Group
Five, and the resignation by a number of senior executives and key finance staff members which has
increased their risk of continuing as external auditors of Group Five and its subsidiaries.
PWC resigned as auditors for the company for the financial year that commenced on 1 July 2018.
The Board of Group Five will commence the process of appointing new auditors and will advise
shareholders once the new auditors have been appointed.
