Mr. Andrew Waller has resigned, effective June 28, 2019, as the alternate director for Grindrod Shipping
Holdings Ltd. (the "Company") appointed by the Company's director Mr. Michael Hankinson. Mr.
Waller's resignation was tendered in order to free up time for his commitments as Chief Executive
Officer of Grindrod Limited. Mr. Hankinson remains a director of the Company and he has not appointed
a replacement for Mr. Waller.
