NOTICE OF REDEMPTION BY THE ISSUER ON 21 August 2019 OF EACH OF
THE CLASS A NOTES, THE CLASS B NOTES, THE CLASS C NOTES AND THE
CLASS D NOTES ISSUED BY THE ISSUER UNDER THE ZAR4,000,000,000 ASSET
BACKED NOTE PROGRAMME OF THE ISSUER
Notice is hereby given that, the Issuer shall, on 21 August 2019,
redeem the Outstanding Principal Amount under -
- Class A2 Notes, issued by the Issuer on 26 September 2014 in
an amount of ZAR 31 146 417 under stock code TH12A2 ("Class
A2 Notes");
- Class A3 Notes, issued by the Issuer on 26 September 2014 in
an amount of ZAR 450 000 000 under stock code TH12A3 ("Class
A3 Notes");
- Class A5 Notes, issued by the Issuer on 27 November 2014 in
an amount of ZAR 48 783 545 under stock code TH12A5 ("Class
A5 Notes"); and
- Class A6 Notes, issued by the Issuer on 27 November 2014 in
an amount of ZAR 300 000 000 under stock code TH12A6 ("Class
A6 Notes");
- Class A8 Notes, issued by the Issuer on 9 February 2015 in an
amount of ZAR 3 377 322 under stock code TH12A8 ("Class A8
Notes");
- Class A9 Notes, issued by the Issuer on 9 February 2015 in an
amount of ZAR 471 000 000 under stock code TH12A9 ("Class A9
Notes");
- Class A11 Notes, issued by the Issuer on 29 April 2015 in an
amount of ZAR 122 334 122 under stock code T12A11 ("Class A11
Notes");
- Class A12 Notes, issued by the Issuer on 29 April 2015 in an
amount of ZAR 214 000 000 under stock code T12A12 ("Class A12
Notes");
- Class B1 Notes, issued by the Issuer on 26 September 2014 in
an amount of ZAR 58 000 000 under stock code TH12B1 ("Class
B1 Notes");
- Class B2 Notes, issued by the Issuer on 27 November 2014 in
an amount of ZAR 60 000 000 under stock code TH12B2 ("Class
B2 Notes");
- Class B3 Notes, issued by the Issuer on 9 February 2015 in an
amount of ZAR 32 000 000 under stock code TH12B3 ("Class B3
Notes");
- Class B4 Notes, issued by the Issuer on 29 April 2015 in an
amount of ZAR 51 000 000 under stock code TH12B4 ("Class B4
Notes");
- Class C1 Notes, issued by the Issuer on 26 September 2014 in
an amount of ZAR 40 000 000 under stock code TH12C1 ("Class
C1 Notes");
- Class C2 Notes, issued by the Issuer on 27 November 2014 in
an amount of ZAR 35 000 000 under stock code TH12C2 ("Class
C2 Notes");
- Class C3 Notes, issued by the Issuer on 9 February 2015 in an
amount of ZAR 29 000 000 under stock code TH12C3 ("Class C3
Notes");
- Class C4 Notes, issued by the Issuer on 29 April 2015 in an
amount of ZAR 33 000 000 under stock code TH12C4 ("Class C4
Notes");
- Class D1 Notes, issued by the Issuer on 26 August 2014 in an
amount of ZAR 19 000 000 under stock code TH12D1 ("Class D1
Notes");
- Class D2 Notes, issued by the Issuer on 27 November 2014 in
an amount of ZAR 20 000 000 under stock code TH12D2 ("Class
D2 Notes");
- Class D3 Notes, issued by the Issuer on 9 February 2015 in an
amount of ZAR 11 000 000 under stock code TH12D3 ("Class D3
Notes");
- Class D4 Notes, issued by the Issuer on 29 April 2015 in an
amount of ZAR 16 000 000 under stock code TH12D4 ("Class D4
Notes");
(collectively, the "Notes"), which Notes were issued under the
Issuer's ZAR4,000,000,000 asset backed note programme established
in terms of a programme memorandum dated on or about 23 September
2014("Programme Memorandum"). The Coupon Step-Up Call Date of each
of the Class A Notes, the Class B Notes, the Class C Notes and the
Class D Notes respectively, is 21 August 2019 and the Notes shall
be redeemed on 21 August 2019.
Capitalised terms and expressions used in this notice, and not
otherwise defined herein, shall have the meanings assigned to such
terms and expressions in the Programme Memorandum.
