UPDATE IN RESPECT OF THE DISTRIBUTION OF A CIRCULAR TO SHAREHOLDERS
Shareholders are referred to the announcement released on SENS dated 26 March 2019, in which
shareholders were advised that, inter alia, Ecsponent had concluded an agreement with MyBucks
S.A ("MyBucks") for the acquisition of additional shares in MyBucks ("the Proposed Transaction").
The Proposed Transaction constitutes a reverse take-over and accordingly requires the dispatch of
a circular to shareholders ("the Circular').
Shareholders are further referred to an announcement release on SENS on 24 May 2019 wherein
shareholders were advised that there has been a delay in the posting of the Circular given the size
and complexity of the Circular, specifically the requirements of the JSE Listings Requirements
necessitating a review of the historic financial information of MyBucks by a South African reporting
accountant, and that the JSE had granted the Company an extension until 30 July 2019 for the
posting of the Circular.
Shareholders are advised that a further delay has been encountered in the finalisation of the Circular
due to the complexities and number of parties involved in the transactions that will precede the
Proposed Transaction.
The JSE has, upon written request by the Company, granted the Company an extension for the
distribution of the Circular, which is expected to be posted on or before 30 September 2019.
