DISTRIBUTION OF A CIRCULAR
A circular ("Circular") will be distributed to the Company's shareholders, today, which sets out details
relating to the proposed:
* Specific issue of shares for cash (as detailed in an announcement dated 6 September 2019);
and
* Change of name of the Company to Arden Capital Limited.

NOTICE OF GENERAL MEETING
Notice is hereby given that a general meeting of the shareholders of Brainworks will be held at 10:00
(GMT+4) on Friday, 01 November 2019 at the Brainworks' registered office, Suite 1 Perrieri Office
Suites, C2-302 Level 3 Office Block C, La Croisette, Grand Baie, 30517, Republic of Mauritius
("General Meeting"), to consider the relevant resolutions to approve the Specific Issue and the
Change of Name.
The salient dates and times relating to the General Meeting are as follows:
2019
Record date to determine shareholders eligible to
receive the Circular containing the notice of General
Meeting Friday, 20 September
Last day to trade in order to be eligible to vote at the
General Meeting Tuesday, 22 October
Record date in order to vote at the General Meeting Friday, 25 October
Receipt of Forms of Proxy by 10:00 (although these Wednesday, 30 October
may be handed to the Chairman at the General Meeting)
Results of the General Meeting released on SENS on or Friday, 1 November
