NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT, 2008 AND SECTION 3.83(b) OF THE JSE LISTING REQUIREMENTS
Shareholders are hereby advised that Greenhaven Road Investment Management LP ("Greenhaven") has acquired a beneficial interest in the ordinary shares of Balwin such that its total beneficial interest
has increased to 5.6% of the ordinary shares in issue (26,436,007 ordinary shares).
Greenhaven is a boutique international hedge fund located in the United States with a philosophy of investing funds into businesses with strong cash flow, normalized earnings, and long-term growth
horizons. Balwin is proud to have been identified as a business that aligns with Greenhaven's investment philosophy.
Balwin will file the required notice with the Takeover Regulation Panel as required in terms of section 122(3)(a) of the Companies Act, 2008.
