RESULTS OF WRITTEN RESOLUTION AND AMENDMENTS TO THE TERMS AND CONDITIONS OF THE ENX01 NOTES
enX wishes to advise noteholders of the following Extraordinary Written Resolution which has been considered by the noteholders of the outstanding notes held under
stock code ENX01 (the Noteholders) on 19 March 2020 (the Effective Date).
Extraordinary Written Resolution Number 1 of the Noteholders
1. With effect from the Effective Date, and notwithstanding any terms of the Notes to the contrary, the Noteholders approve the following:
1.1. the Early Redemption Date means:
1.1.1. the first Interest Payment Date after the occurrence of the Disposal Event; or
1.1.2. if the Disposal Event occurs less than 3 Business Days before such first Interest Payment Date, then the Early Redemption Date means the second
Interest Payment Date after the Disposal Event;
1.2. the Issuer will, at least 3 Business Days before the Early Redemption Date, give notice to the Noteholders (in the manner set out in Condition 16), the Central
Securities Depository and the JSE, of:
1.2.1. the occurrence of the Disposal Event;
1.2.2. the Early Redemption Date; and
1.2.3. the Early Redemption Amount (together with the supporting calculation from the Calculation Agent).
In this regard, the Issuer confirms the voting results of the extraordinary written resolution in relation to the total outstanding notes held under stock code ENX01 (the
Notes), issued by enX under its R4,000,000,000 Domestic Medium Term Note Programme, as follows:
