CHANGES TO THE STADIO HOLDINGS’ BOARD OF DIRECTORS
APPOINTMENT OF CHAIRPERSON
In accordance with paragraph 3.59(a) of the JSE Limited (“JSE”) Listings Requirements, the
board of directors of the Company (“the Board”) is pleased to announce that Dr. Vincent
Maphai (“Dr. Maphai”) has been appointed as an independent non-executive director and
chairperson of the Company, with effect from 16 July 2020.
Dr. Maphai has a wealth of experience and is passionate about education. He is currently the
chairperson of the Sibanye-Stillwater Limited board of directors and a non-executive director
of Discovery Limited. Previously, Dr. Maphai was the Director of Corporate Affairs and
Transformation at SAB. In addition, he served as the southern African Chairperson of BHP
Billiton. Dr. Maphai has accumulated 20 years’ experience in the academic profession, and
15 years as a senior executive in the private sector. He has served as non-executive
chairperson on the boards of various companies, including the SABC and the Presidential
Review Commission into the restructuring of the public sector. Dr. Maphai has also held a
two-year academic position at Williams College in Massachusetts.
The Board believes that Dr. Maphai’s experience, his sound academic knowledge and
leadership skills make him a fitting candidate to lead STADIO Holdings in building a truly
great company in the service of our people and our country as a whole, whilst widening
access to quality higher education.
RESIGNATION OF DIRECTOR
In accordance with paragraph 3.59(b) of the JSE Listings Requirements, the Board wishes
to advise shareholders that Mr. Douglas Maitakhole Ramaphosa (“Mr. Ramaphosa”) has
resigned as an independent non-executive director of the Company, with effect from 15 July
2020.
Mr. Ramaphosa played an integral role in the establishment of STADIO Holdings and in
providing invaluable guidance on various transformation principles within the Group.
The Board would like to thank Mr. Ramaphosa for his valuable contribution to the Company
over the past 3 years and wishes him well in his future endeavours.
