Notice of Credit Event
Notice is hereby given to all Noteholders of the Notes listed above which were issued under the Issuers’ Master
Structured Note Programme (“MSNP”) that the Issuer has determined that an Obligation Default Credit Event has
occurred in respect of Pizzaexpress Financing 1 PLC which is one of the Reference Entities included in the Applicable
Pricing Supplements relating to the Notes.
Interest will accordingly cease to accrue in respect of the portion relating to Pizzaexpress Financing 1 PLC (the “Affected
Portion”) from the 4th September 2020.
The Calculation Agent will determine and deliver the relevant Deliverable Obligation(s) in respect of the Affected Portion
minus Swap Costs.
Under the terms of the Notes, the amount of the Notes equal to the Reference Entity Nominal Amount will be redeemed
and delisted. Therefore the following redemptions will apply effective the 9th of October 2020.
