NO CHANGE STATEMENT, NOTIFICATION OF COMMUNICATION OF KEY AUDIT MATTERS,
POSTING OF INTEGRATED ANNUAL REPORT, NOTICE OF ANNUAL GENERAL MEETING
AND BROAD-BASED BLACK ECONOMIC EMPOWERMENT ACT ANNUAL COMPLIANCE REPORT
Shareholders are advised that the Company’s Integrated Annual Report incorporating,
inter alia, the audited consolidated annual financial statements for the year ended
30 June 2020 (“AFS”) and a notice of Annual General Meeting, is being distributed to
shareholders today, 30 October 2020.
The AFS, as audited by the Company’s auditors Nexia SAB&T who expressed an
unmodified audit opinion thereon, contain no modifications to the reviewed provisional
condensed consolidated financial statements released on SENS on 30 September 2020.
The audit opinion includes normal communication on key audit matters pursuant to
International Standards of Auditing ISA 701. The Integrated Annual Report, incorporating
the AFS and the audit opinion referring to the key audit matters, is available for viewing
on the Company’s website, www.telemasters.co.za.
Notice of Annual General Meeting
Notice is hereby given that the Annual General Meeting of shareholders will be held at
09h30 on Friday, 4 December 2020 in the Boardroom at TeleMasters Holdings Limited, ATT
House 2, Maxwell Office Park, Magwa Crescent, Waterfall City, Johannesburg.
Record Date
The record date on which shareholders of the Company must be registered as such in
the Company’s securities register in order to attend and vote at the Annual General
Meeting is Friday, 27 November 2020. The last day to trade in order to be eligible to vote
at the Annual General Meeting will be Tuesday, 24 November 2020.
Broad-Based Black Economic Empowerment Act: Annual Compliance Report
Shareholders are hereby notified that in accordance with paragraph 16.20 (g) and
Appendix 1 to Section 11 of the JSE Listings Requirements, the Company’s Annual
Compliance Report, in terms of section 13G(2) of the Act, has been published and is
available on the Company’s website, www.telemasters.co.za.
