Proposed share buy-back program - up to a 3 billion shares


Shareholders are advised that it is proposed that the Company will commence a share buy-
back program for up-to 3 billion of the issued share capital once the necessary authorities
has been granted by shareholders. A circular to obtain shareholder approval to buy-back
shares is being drafted and will be distributed shortly.

The Board of Directors of the Company are of the firm opinion that a share buy-back is the
most efficient use of capital and effective measure in enhancing shareholder value in the
long term, given the current discount to the embedded value.

The share buy-back will reduce the number of existing shares and demonstrates the cash
generation results from the recent announced Cannabis Acquisitions.
